1.1. This Exclusive Agreement forms a constituent part of every order, and regulates purchasing in general. 1.2. The Supplier gives the Exclusive Distributor the right to sell and distribute the contractual goods under the conditions stipulated hereinafter. 1.3. The Exclusive Distributor has the exclusive right to sell and distribute the contractual goods in following territories (please, mark the applicable): - Slovenia - Serbia - Italy - EU - Croatia - Other__________ 1.4. The Exclusive Distributor buys and sells the contractual goods under its own name and at its own account. 1.5. The Exclusive Distributor determines the selling prices and sales policies for the individual contractual territories freely and independently. 1.6. Orders shall be made in writing and sent by fax, e-mail or mail. The Supplier shall either confirm or cancel each order within 48 (forty-eight) hours after its receipt. If the confirmation or cancellation of an order is not issued within 48 (forty-eight) hours, it shall be understood that all items stated in the order have been confirmed.
